Sales Agreement 

Article 1: Parties and Definitions 

This digital contract is an agreement between Prometech and the customer.

Article 2: Subject of Contract

The contract includes the service of preparing the software needed by the CUSTOMER in order to carry out communication, promotion, advertisement and similar services by Prometech . 

Article 3: Obligations of Prometech 

  1. Prometech is obliged to make the software or digital designs that the CUSTOMER needs for promotion, in-house or external functions, advertisement and obtaining information ready for publication on the internet or offline system by installing them in a way that the CUSTOMER can use.
  2.  Additional design (corrections requiring design and code changes, page additions) requested by the CUSTOMER after the performance in Article 3.1 is subject to an additional fee.
  3. It declares that it will integrate the necessary arrangements and additions into the system as soon as Prometech will determine, after completing the necessary work, for simple changes or retouching in the existing sections of the design prepared for the CUSTOMER . There will be no additional charge for these corrections.

Article 4: Your Customer’s Obligations 

  1. The CUSTOMER is obliged to provide accurate information about himself. In case of false information , the CUSTOMER accepts that Prometech is not responsible for the fraud. The CUSTOMER agrees in advance that legal and penal action will be taken against the CUSTOMER in case of false information or fraud.
  2. Obliged to supply and pay the server / hosting system where the software will be installed and the necessary hardware / software requirements for this system to work.
  3. The CUSTOMER must provide or have the pictures and written documents required during the editing and design of the software within 5 working days, and send the pictures to Prometech in a computer environment or in high quality . Prometech cannot be held responsible for the delay caused by the customer not submitting the necessary documents on time . If the information sent to Prometech is incomplete, the CUSTOMER agrees that he will pay an extra fee for the information provided or the desired features.
  4. The CUSTOMER tells Prometech what they want regarding the software or service and purchases any service without obtaining a price offer, he/ she declares that he/she accepts any price offer given by Prometech in advance.
  5. The CUSTOMER is responsible for creating the site content himself and adding the information to the site, in case of the software’s admin panel or management program. Content creation and knowledge creation costs extra.
  6. CUSTOMER accepts and declares that the copyright of the special software techniques, codes and designs used in the software produced by Prometech belongs to Prometech and that these softwares will not be reproduced or distributed in any way.
  7. Accepts and declares that all ideas, thoughts, expressions, comments and articles expressed belong to him and Prometech is not responsible in any way.
  8. The CUSTOMER is responsible for the security of all backups and data belonging to him. Prometech will not be responsible if information is lost for any reason . The CUSTOMER cannot claim any right or compensation from Prometech for any damages that may arise from this situation . Improvement, control of data security, or if CUSTOMER uploaded files corrupt the software, they have to pay an extra fee to fix the software.
  9. The CUSTOMER is obliged to report any software errors and problems that may occur related to the services.
  10. The CUSTOMER agrees to notify Prometech if the software or website that is the subject of the agreement is used in a domain name other than the domain name or in another domain name , and accepts that a new purchase will be made for the new domain name.
  11. CUSTOMER agrees that he/she may request the source codes developed by Prometech by paying the extra fee determined by Prometech .
  12. CUSTOMER cannot hold Prometech responsible for the services developed by Prometech , if the CUSTOMER’s service is damaged in any way, when he receives service, uses a program or adds add-ons for the project without the permission of Prometech . The CUSTOMER declares and accepts that he will pay an extra fee to Prometech for the correction of the project.
  13. CUSTOMER accepts that Prometech has the right to cancel the project or service and terminate the contract without any refund , when he receives services from other companies without the consent of Prometech , in addition to the service he received outside of Prometech .
  14. CUSTOMER accepts that the website , which is the subject of the agreement , is moved out of the domain name and/or used in another domain without Prometech ‘s knowledge, in case of starting broadcasting, is considered a violation of Prometech’s copyrights and Prometech has the right to cancel the project and terminate the contract without any refund. admits it is.
  15. CUSTOMER extra software programs-plugins, extra server costs, fees for newly opened accounts, etc. agrees to pay Prometech for the services .
  16. The CUSTOMER subscription describes the project or ideas prior to purchase. He accepts that he accepts the offer to be given by Prometech for the project and will not negotiate.
  17. Prometech responsible for the project or service developed, when it is damaged due to external sources or if the system is damaged due to cyber attacks . Can not claim any right or compensation from Prometech .
  18. Server, program, etc. of the companies chosen by Prometech , which provides the infrastructure of the CUSTOMER developed project . accepts that Prometech is not responsible for technical problems that are not caused by Prometech in their systems (corruption, access problem, etc.) . Can not claim any right or compensation from Prometech .
  19. CUSTOMER cannot request any illegal software or design services from Prometech . If any developed service is used in this direction, Prometech accepts in advance that legal and penal action will be taken against the CUSTOMER. CUSTOMER agrees that Prometech is not responsible for the illegal transaction . If the illegal transaction is notified after the purchase, the CUSTOMER will not be refunded.

Article 5: Confidentiality and Security 

  1. Based on mutual trust, Prometech supports the CUSTOMER and takes beneficial actions. The CUSTOMER also supports Prometech materially and morally and takes actions that will be beneficial.
  2. Both Prometech and CUSTOMER must respect each other’s privacy rules. Prometech and CUSTOMER must comply with GPDR and ESRB rules. All information that is not obligatory to be shared with third parties and is not accessible to other people is considered confidential and should not be shared with other people.
  3. Prometech declares and undertakes that it will not share and use File Transfer Authority (FTP), Database , Management Control Panel passwords and customer information and private information registered in the site content and database with 3rd parties and organizations.
  4. Prometech is not responsible for any damages that may arise if the passwords are obtained by third parties or organizations due to any intention, negligence or fault of the CUSTOMER ‘s own employees.

Article 6: Validity of Electronic Records 

Electronic correspondence and confirmation records such as e-mail, instant message and fax made between the parties and by the authorities of the parties are accepted as legally valid evidence and as final and binding evidence in the context of procedural law. 

Article 7: Notifications 

For all kinds of notifications to be made regarding the contract and its implementation, the parties have determined the addresses and e-mails written on the website as legal residence. The parties accept, declare and undertake that if they do not notify the other party of the changes in these addresses via electronic mail, the notifications to these addresses will be deemed valid, duly and made to them. 

Article 8: Pricing and Payment 

  1. Accepts, declares and undertakes that he will pay the Service fee to Prometech in return for an invoice as a monthly subscriber at the beginning of the business. The fee to be paid at the end of the work will be canceled by Prometech at the latest one week after the invoice date, after the software is delivered in a ready-made form in written or approved by mail and the necessary controls are completed . In case of delay, re-pricing will be applied to the remaining payment. The inflation rate will be taken as a basis while increasing the pricing.

Note: This only applies to our project services. In our services and systems for which you have to pay continuously, if the monthly subscription is canceled, your services will be canceled within 1 week and the contract will be terminated.

  1. If the CUSTOMER pays a total of 50% of the service fee in the project services during the work process, he/ she is not entitled to a refund for the paid fee, since the wages and taxes of Prometech employees are paid.
  2. In case of non-payment, Prometech has the right to delay, stop or terminate the contracted service.
  3. When the CUSTOMER requests to change the design or software as a whole during the construction or at the end of the job, he/she agrees to pay at least 90% of the contract amount and at least 20% difference for the replacement of certain parts. By total replacement is meant the replacement of more than 20% of the existing design. By not modifying certain parts of it, less than 10% of a request or code snippet is modified or added.
  4. The CUSTOMER agrees to pay with cryptocurrency, pay in full for project development, and purchase our other monthly services annually. 

Article 9: Completion and Cancellation of the Work

  1. If the project will not be completed for any reason other than the CUSTOMER, Prometech is obliged to return half of the fees it receives. Events that are not caused by both parties, such as natural disasters ( earthquake, flood, etc.), illness, death will not be counted for any reason other than the CUSTOMER.
  2. When all software and design (including website, website draft, website approved draft, corporate documents, logo, business card and other printed documents, mockup presentations) products/works made for the CUSTOMER are delivered to the Customer digitally or by mail after the contract / even if Prometech has not completed / delivered 100% of the work when presented, the 50% payment received in the subscriptions will no longer be returned to the CUSTOMER .
  3. Agrees, declares and undertakes to pay the entire agreed fee to Prometech in case the CUSTOMER abandons the work for a reason not originating from Prometech when the work is 70% or higher . If the CUSTOMER cancels the contract when the work is less than 70% completed, he pays Prometech at the rate of the completed work . By 70% of the work, it means the main lines of the work have been completed, and the remaining 30% is the work that is functional without being done.
  4. CUSTOMER agrees to continue the monthly payment in case the project duration is prolonged due to reasons originating from Prometech or not.
  5. CUSTOMER agrees that in case of canceling the subscription for monthly and non-project services received from Prometech , the fee cannot be refunded and all content of the service will be destroyed within 14 days at the latest.
  6. CUSTOMER agrees that Prometech will not demand any commissions and taxes paid while refunding the fee.

Article 10: Warranty and Support Scope 

  1. The WARRANTY PERIOD will start from the date the software is tested and published in a working condition to fulfill all kinds of functions and will be 6 months in total.
  2. Prometech It is responsible for correcting software errors and problems ( bugs ) that may occur related to the services it provides to the CUSTOMER . No additional fee will be charged for these corrections. The validity period of this article is 6 months.
  3. CUSTOMER will be informed about the use of the management panel comprehensively for once, without any additional charge (allowing the access of products, categories, logos, settings to the system). definition, etc. ).
  4. Prometech and will be free from possible errors during the testing phase, no additional fees will be charged for correcting software or design errors that may occur within the 6-month warranty period, or for intervening and making the software operational in case the software does not work.
  5. Based on mutual trust, Prometech supports the CUSTOMER and takes beneficial actions. The CUSTOMER also supports Prometech materially and morally and takes actions that will be beneficial.
  6. If the CUSTOMER requests more comprehensive support and development service after the completion of the work, it is offered to the Customer for a separate fee to be determined by Prometech for this service and this fee is paid to Prometech monthly . The amount of this fee determines the scope of the support service and workload to be received.
  7. Hosting / Server and domain services supply is within the scope of support, and the CUSTOMER does not need to supply it himself. However, within the scope of the support service, it cannot request the use of the Server / Hosting service that it has purchased from Prometech .
  8. There is a server/ hosting service that Prometech mediates within the scope of the support service ( finding the appropriate server/ hosting service) , in case of an increase in website traffic, in case of insufficient server capacity, the capacity increase request is made by the CUSTOMER and the CUSTOMER accepts and declares that he/she will cover the necessary costs for the capacity increase. and commits.
  9. The CUSTOMER requests support or maintenance service from a company other than Prometech , Prometech has the right to unilaterally stop the support service, and if payment has been received for this service, the payment will not be refunded.
  10. Agrees, declares and undertakes to pay a separate fee to Prometech for code snippets that take more than 1 business day to develop, regardless of the extent of support service they have received .
  11. If the CUSTOMER does not have any payment for the Support service, he/she may stop receiving unilateral support and the same applies to Prometech .
  12. Prometech is not responsible for the damages that may arise from the decisions taken without considering Prometech ‘s suggestions and services in cases that require expertise . In case of any damage to Prometech , the CUSTOMER is responsible for the compensation of the damages.
